These Terms and Conditions ("Terms," "Terms and Conditions," "Agreement") govern your access to and use of the PayForPost.com website, mobile applications, and related services (collectively, the "Platform" or "Services") operated by [Your Company Name] ("PayForPost," "we," "us," or "our").

1. Eligibility

By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this Agreement. If you are registering on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

1. Account Registration and Security

Registration: To access most features of the Platform, you must register for an account ("Account"). You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security: You are solely responsible for safeguarding your Account password and for any activities or actions under your Account, whether or not you have authorized such activities or actions. You agree to notify PayForPost immediately of any unauthorized use of your Account or any other breach of security. PayForPost cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

One Account: You may not register for more than one Account unless explicitly authorized by PayForPost.

Account Transfer: You may not assign or otherwise transfer your Account to any other person or entity without our prior written consent.

1. The PayForPost Platform

PayForPost.com provides a social marketplace connecting users, including individuals, brands, creators, and influencers ("Users"), for the potential creation, promotion, and discovery of content, products, or services ("Posts" or "Content"). Users may engage in various activities, including posting content, interacting with other Users, offering services, purchasing services, or participating in promotional campaigns facilitated through the Platform. PayForPost acts as a facilitator and technology provider for these interactions. We are not a party to any agreements entered into between Users unless explicitly stated otherwise.

1. User Conduct and Responsibilities

You agree to use the Platform only for lawful purposes and in accordanceance with these Terms. You agree not to:

Violate any applicable federal, state, local, or international law or regulation (including, without limitation, laws regarding the export of data or software to and from the US or other countries, advertising disclosure laws like FTC guidelines where applicable to your content, and intellectual property laws).

Post, upload, publish, submit, or transmit any Content that:

Infringes, misappropriates, or violates a third party’s patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy.

Is fraudulent, false, misleading (including impersonation), or deceptive.

Is defamatory, obscene, pornographic, vulgar, or offensive.

Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group.

Is violent or threatening or promotes violence or actions that are threatening to any other person.

Promotes illegal or harmful activities or substances.

Contains unsolicited promotions, political campaigning, advertising (except as expressly permitted by the Platform's features), or solicitations (spam).

Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.

Use the Platform to engage in any activity that could be deemed manipulative, including artificially inflating engagement metrics (e.g., buying likes, followers, views), creating fake accounts, or manipulating search results or "viral" mechanics.

Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.

Use any robot, spider, or other automatic device, process, or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform, without our prior written consent.

Interfere with the proper working of the Platform or another User's use and enjoyment of the Platform.

Collect or store any personally identifiable information from the Platform from other Users without their express permission.

Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by us, may harm PayForPost or Users of the Platform or expose them to liability.

We reserve the right, but are not obligated, to monitor, review, screen, or remove Content and suspend or terminate Accounts engaging in prohibited conduct.

1. Content Ownership and Licenses

Your Content: You retain ownership of all intellectual property rights in the Content you create and post on the Platform ("Your Content").

License to PayForPost: By creating, posting, uploading, or otherwise submitting Your Content on or through the Platform, you grant PayForPost a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify (e.g., for formatting or technical purposes), create derivative works, communicate, publish, publicly perform, publicly display, and distribute Your Content solely for the purposes of operating, providing, promoting, and improving the Platform and its Services, and developing new ones. This license continues even if you stop using our Services with respect to aggregate and de-identified data derived from Your Content and any residual backup copies of Your Content made in the ordinary course of our business.

License to Other Users: You also grant other Users of the Platform a non-exclusive license to access Your Content through the Platform, and to use, reproduce, distribute, display, and perform such Content as permitted through the functionality of the Platform and under these Terms.

Representations: You represent and warrant that: (i) you either are the sole and exclusive owner of all Your Content or you have all rights, licenses, consents, and releases that are necessary to grant to PayForPost and other Users the rights in Your Content, as contemplated under these Terms; and (ii) neither Your Content, nor your posting, uploading, publication, submission, or transmittal of Your Content or PayForPost's use of Your Content (or any portion thereof) will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

1. Platform Intellectual Property

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by PayForPost, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms permit you to use the Platform for your personal, non-commercial use only (or for your internal business purposes related to participating as a brand or creator on the marketplace). You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as incidentally necessary to use the Platform.

1. Payments and Transactions (If Applicable)

If the Platform facilitates financial transactions between Users (e.g., brands paying influencers, users purchasing promoted posts) or charges fees for certain features:

Payment Processor: We may use third-party payment processors to handle financial transactions. Your use of such services is subject to the terms and conditions of the applicable payment processor.

Fees: Any applicable fees for using specific Platform features or services will be clearly disclosed to you before you incur them. You agree to pay all applicable fees.

User Transactions: PayForPost is not responsible for the fulfillment, quality, legality, or any other aspect of transactions entered into directly between Users. We provide the venue, but disputes regarding transactions must be resolved directly between the involved Users, although PayForPost may offer dispute resolution mechanisms at its discretion.

Taxes: You are solely responsible for determining and complying with any applicable tax reporting requirements and for paying any taxes arising from your use of the Platform and any transactions conducted thereon.

"AS IS" Basis: YOUR USE OF THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER PAYFORPOST NOR ANY PERSON ASSOCIATED WITH PAYFORPOST MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM.

No Guarantee of Virality or Results: PayForPost.com is marketed as "The World's First Social Marketplace to Go Viral." However, PayForPost makes NO GUARANTEE OR WARRANTY, EXPRESS OR IMPLIED, REGARDING THE LIKELIHOOD OF ANY CONTENT ACHIEVING "VIRAL" STATUS, OR REGARDING ANY SPECIFIC LEVEL OF REACH, ENGAGEMENT, SALES, OR OTHER OUTCOMES RESULTING FROM THE USE OF THE PLATFORM OR INTERACTIONS BETWEEN USERS. Success depends on numerous factors beyond our control, including content quality, audience reception, and market conditions.

User Content: We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Platform or endorse any opinions expressed via the Platform. You understand that by using the Platform, you may be exposed to Content that might be offensive, harmful, inaccurate, or otherwise inappropriate, or in some cases, postings that have been mislabeled or are otherwise deceptive.

Third-Party Links: The Platform may contain links to third-party websites or resources. You acknowledge and agree that PayForPost is not responsible or liable for the availability or accuracy of such websites or resources, or the content, products, or services on or available from them.

1. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PAYFORPOST, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE PLATFORM OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

1. Indemnification

You agree to defend, indemnify, and hold harmless PayForPost, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms and Conditions or your use of the Platform, including, but not limited to, Your Content, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform, or any dispute between you and another User.

1. Termination

Termination by You: You may terminate this Agreement at any time by closing your Account and discontinuing your use of the Platform.

Termination by PayForPost: We may suspend or terminate your access to all or part of the Platform and deactivate or delete your Account immediately, without prior notice or liability, for any reason or no reason, including without limitation if you breach these Terms.

Effect of Termination: Upon termination, your right to use the Platform will immediately cease. If we terminate your Account for cause, you may not be permitted to create a new Account. Provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

1. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [Insert Your State, e.g., Delaware], without regard to its conflict of law provisions. Entire Agreement: These Terms and our Privacy Policy constitute the sole and entire agreement between you and PayForPost regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

Waiver and Severability: No waiver by PayForPost of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Assignment: You may not assign this Agreement without our prior written consent. PayForPost may assign this Agreement without restriction.

Notices: Any notices or other communications provided by PayForPost under these Terms will be given: (i) via email; or (ii) by posting to the Platform.
